If you give up a permanent business, you must deregister it at the same time.
If you change the legal form of your business, you will also need to deregister it. First, you must deregister your business under the previous legal form. Then you must re-register your business under the new legal form.

If you move the headquarters of your company or a branch or a dependent branch of your company to a new location without changing the jurisdiction, a business re-registration is sufficient.

Prerequisites

Your business is currently registered in Hamburg.

You deregister your business

  • as a sole trader or
  • as a partner authorized to manage a partnership or
  • as a personally liable partner of a KG or
  • as a limited partner with management authority of a KG or
  • as legal representative of a corporation (for example GmbH, AG)

if you want to

  • give up,
  • want to move to a different area of responsibility than the current one or
  • want to change the legal form of your business.

Documents required

  • Copy of identity card or passport with registration certificate, or presentation of documents on site
  • In case of electronic deregistration of business, self-declaration of identity
  • if your company is registered there:
    • Copy of the commercial register extract (for legal partnerships, for example GmbH, AG, registered merchant)
    • Copy of the cooperative register extract
    • Copy of the extract from the association register

Please note

If it is clear that you are going to close your business and you do not deregister your business, the deregistration will be carried out officially.


You can submit business deregistrations to the Hamburg Chamber of Commerce, the Hamburg Chamber of Crafts and the Hamburg district offices.

Registration in the commercial register does not replace the obligation to report.

Deadlines

You are obliged to deregister your business at the time of closure or at the time of relocation to the jurisdiction of another registration district or at the time of change of legal form.

Procedure

You can deregister your business in person or in writing using a form or electronically. Please enclose a copy of all required documents if you deregister your business using a form in written or electronic form.

If you deregister in person or in writing, you must fill out the "Deregistration of Business" form and sign it personally. You can get the "Deregistration of Business" form online.

In the electronic process, you provide the same information as when deregistering in person. You do not need the form and do not have to sign it in person.

You can also have your business deregistered by a person who has been proven to be authorized and identified in writing by the business owner.

Send the documents to the responsible authority.

The responsible authority will examine your documents and, if necessary, request further documents or information from you.

The responsible authority will inform you of the amount of the fees.

You pay the fees.

You will receive a certificate from the responsible authority for your business registration.

The responsible authority forwards the deregistration of the business to other authorities, such as the tax office, the professional association, the Chamber of Crafts or the Chamber of Industry and Commerce and, if necessary, the registry court.

Processing time

If you have filled out the form correctly and have the required documents, confirmation of the deregistration of your business will usually be sent within 2 weeks. The processing time varies depending on the current situation.

Fees

There are no costs for the first-time deregistration of a business.


For each additional copy of the certificate you pay a fee of 10 euros.


You can request this in person on site or in writing with a copy of your ID. If you request the certificate in writing, you will receive a fee notice.
