Detailed description

The commercial register is a public directory containing essential information about the legal status of registered merchants and companies in Germany.


You can obtain confirmation that no entry has been made in the commercial register or that there are no further entries for a specific company or person. You can apply for a so-called negative certificate from the relevant authority.


You may need this certificate for official applications, tenders, banking transactions, or if you need to prove that there is no registration.

There is no entry in the commercial register for the person or company in question.

The registry court does not check whether someone is subject to registration, but only whether an entry actually exists.


You can apply for a negative certificate for yourself or for others.


A negative certificate from the commercial register is not an "application for verification of prerequisites", but an official proof of the current register status.




You can submit the application electronically via the Joint Register Portal of the Länder (see links).


You can receive the negative certificate as a download or as a printed copy.


You can obtain the negative certificate in simple (uncertified) or certified form.

Procedure

  • You can apply for the certificate in person, in writing or electronically at the responsible authority.
    • Include in your application
      • the name and, where applicable, the date of birth of the person concerned or
      • Enter the name of the company or firm for which you require the certificate.
  • The responsible authority will issue you the extract with the note "no entries found". This is the negative certificate.
  • You will receive the negative certificate.
  • You will receive the invoice.
  • They will cover the costs.

Processing time

You will receive the negative certificate electronically and as a printout, usually within a few working days.
